Being listed as a company director is not just a formality.

Even if someone is not involved in daily operations, a director may still carry legal, financial, tax and governance responsibilities. In Singapore, directors are expected to act honestly and with reasonable diligence under the Companies Act, and ACRA highlights that directors have responsibilities relating to financial reporting and company compliance. IRAS also states that company directors remain responsible for timely and accurate corporate income tax filing, even when a tax agent is engaged.

This checklist helps individuals and business owners assess what they should understand before accepting a directorship, especially when the role is described as “just in name”.
